Digital Contractors Service Agreement

This Service Agreement states the terms and conditions that govern the contractual agreement between Sarnat Holdings, LLC (Digital Contractors) (the “Agency”) and the signatory at the end of this Agreement (the “Client”) (collectively, the “Parties” and each, a “Party”).

Scope of Services

The services are divided into two parts: Setup Services and Ongoing Management Services.

Setup Services (up to 10 days):

  • Learn more about the Client’s goals and ideal lead qualifications.
  • Research and build a custom client avatar.
  • Review Client’s portfolio to gather creatives.
  • Write ad copy aligned with the client avatar.
  • Create ad creatives designed to generate leads.
  • Ensure ads are responsive across devices.

Ongoing Management Services:

  • Refresh and update creatives regularly.
  • Perform A/B testing of ads, landing pages, and copy.
  • Scale profitable ads within the Client’s market and demographic.
  • Monitor ads and campaign performance.
  • Provide a real-time reporting dashboard in the Client’s CRM.
  • Weekly performance check-ins.
  • Monthly reporting calls.

Client Requirements

Within 4 days of signing, Client must:

  • Complete the onboarding process.
  • Provide a photos and/or of completed work, work in progress, team photos, etc.
  • Grant access to Facebook, Instagram, and ad accounts.

Ongoing obligations:

  • Pay all invoices on time.
  • Use the RootFlow App (LeadConnector) to contact all leads (calls, texts, emails).
  • Accurately report all quotes and estimates given to Agency-generated leads.
  • Invest at least $50/day into Meta (Facebook) advertising.
  • Review the Digital Contractors Program to strengthen sales process and system use.
  • Provide new content regularly, following Agency guidelines.

Fees and Payment

The Client agrees to pay the Agency $1,500 per month, charged every 30 days from the effective date.

Other Payment Options Available:

  • Quarterly: $3,500 ($1,000 discount).
  • 6-Month Upfront: $7,000 ($2,000 discount).
  • 12-Month Upfront: $14,000 ($4,000 discount).

If client selects any of the prepay options, once that period ends, the Agreement continues on a monthly basis without discounts unless prepaid under the options above or services are canceled.

Terms & Conditions

a.The Agency retains all rights to its intellectual property unless otherwise agreed in writing. Ad creatives made for the Client remain with the Client.

b.The Client may cancel this Agreement at any time by providing at least 7 days’ written notice.

  • The Client must complete an off-boarding call within 5 days of the cancellation request.

c.If the Client fails to pay fees, the Agency may pause services until payment is resolved.

d.Both Parties agree to keep all information related to this Agreement confidential.

e.If any part of this Agreement is found unenforceable, the remaining provisions will remain in full effect.

f.This Agreement constitutes the entire agreement between the Parties and supersedes all prior communications, written or oral.
